Terms of Service

These Terms of Service ("Terms") govern your access to and use of Resume Nexus ("the Service"), operated by Guardian Nexus LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Description of Service

Resume Nexus is a software-as-a-service (SaaS) tool that uses artificial intelligence to compare resumes against job descriptions and generate screening assessments. The Service is intended to assist human recruiters and hiring managers - it does not make hiring decisions.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By creating an account, you represent that you meet these requirements.

3. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must provide accurate and current information when creating your account.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Service in violation of any applicable law or regulation, including employment discrimination laws.
  • Upload content that is illegal, defamatory, or infringes on third-party rights.
  • Attempt to reverse engineer, decompile, or extract the source code of the Service.
  • Use the Service to make automated hiring or rejection decisions without human review.
  • Share your account credentials or allow unauthorized third parties to access your account.
  • Attempt to circumvent rate limits, security measures, or access controls.

5. AI-Generated Results Disclaimer

The screening scores, recommendations, and analysis provided by the Service are AI-generated and may contain errors, inaccuracies, or biases.

  • Results are intended as a screening aid, not a final determination of candidate suitability.
  • Scores may vary between runs due to the non-deterministic nature of AI models.
  • Results from different AI models or providers should not be directly compared.
  • You are solely responsible for verifying all results against actual resume content before making any employment decisions.
  • We do not guarantee the accuracy, completeness, or reliability of any AI-generated assessment.

6. Your Data

  • You retain ownership of all resumes, job descriptions, and other content you upload to the Service.
  • We process your uploaded content solely to provide the screening service and do not sell or share it with third parties for their own purposes.
  • AI analysis is performed by an AI provider. By default that is our AI provider; how it handles your content is described in the Privacy Policy (Sections 3 and 5). If you supply your own API key in Settings, your content is sent to the provider you chose, OpenAI or Anthropic, under your own agreement with it, and its terms and privacy policy apply instead.
  • You may delete your data at any time through the Settings page. Deletion is permanent and cannot be undone.

7. Data Retention

Each plan keeps resumes, job descriptions, screening sessions, and results for a set period: 7 days on the free trial, 30 days on Starter, 1 year on Professional, and a period set per agreement on Enterprise. You may choose a shorter period in Settings. If a plan change shortens the period, the shorter period applies 7 days after the change. A nightly job permanently deletes anything older than the period that applies to your account, including stored files. Suspended accounts keep their data for 30 days after suspension, after which it is deleted. You may delete all your data, or close your account, at any time in Settings. Deleted data may remain in encrypted database backups for up to 14 days before it is overwritten.

Resumes and job descriptions are sent to our AI provider only to score them. Our provider deletes them within 30 days and does not use them to train models, unless its automated systems flag them for a usage policy violation or the law requires longer retention. If you use your own AI provider, that provider's terms apply instead.

8. Third-Party AI Providers

The Service relies on third-party AI providers for analysis. You may choose your preferred provider in Settings and supply your own API key. When using your own API key:

  • You are subject to the terms and pricing of your chosen AI provider.
  • API keys are encrypted at rest and never stored in plaintext.
  • We are not responsible for charges incurred on your AI provider account.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss resulting from service downtime.

10. Billing and Payments

Plans and prices. Plans, prices, and included features are listed on our pricing page. Prices are in US dollars and do not include taxes. You are responsible for any applicable sales, use, or similar taxes.

Free trial. New accounts may start a 7-day free trial with Professional features, up to 10 screenings with the built-in model, and up to 2 screening sessions a day. No payment method is required. When the trial ends, access to the service stops until you subscribe. Trial data is handled as described in Section 7 (Data Retention).

Subscriptions and renewal. Paid plans are billed in advance, monthly or annually, and renew automatically at the end of each billing period until canceled. Annual plans are billed in full at the start of each annual term. Payments are processed by Stripe; we do not store your full card number.

Upgrades. If you move to a higher plan, the change takes effect immediately. You will be charged a prorated amount for the remainder of the current billing period, on your next invoice or immediately, as shown at the time of the change.

Downgrades. If you move to a lower plan, the change takes effect at the end of the current billing period. After a downgrade takes effect, we wait 7 days before applying the lower plan's shorter retention period, so you have time to export anything you want to keep.

Cancellation. You may cancel at any time. Cancellation takes effect at the end of the current billing period, and you keep access to your plan until then. After that, your data is handled as described in Section 7 (Data Retention).

Refunds. Payments are non-refundable, and we do not issue refunds or credits for partial billing periods, unused screenings, or downgrades, except where required by law. We may issue a refund or credit at our discretion.

Failed payments. If a payment fails, we and our payment processor may retry it. If payment is not resolved within 14 days, we may suspend or downgrade your account until it is.

Price changes. We may change prices for future billing periods. We will give you at least 30 days' notice by email before a price change applies to your subscription. The new price takes effect at your next renewal after that notice. If you don't agree, you may cancel before it takes effect.

Invoiced and custom plans. Some customers subscribe through a written order form or invoice instead of online checkout. In that case, the order form's pricing, term, and payment terms apply, and invoices are due within 30 days unless the order form says otherwise. If an order form conflicts with these Terms, the order form controls for that customer.

Disputes. If you believe a charge is wrong, contact support@resumenex.us within 60 days of the charge so we can look into it. If you file a chargeback instead, we may suspend the account while it is resolved.

11. Fair Use

Screenings included in a paid plan are for your organization's normal internal recruiting work. Each person who uses the Service needs their own account; you may not share logins or resell access. You may not use automated tools to submit screenings in bulk outside the product's built-in batch features.

Plans include per-batch limits shown on our pricing page. If your usage is far above typical use for your plan, or affects the Service for other customers, we may contact you to discuss a better-fitting plan and may apply reasonable rate limits. We will not reduce your plan's listed features without notice.

12. Limitation of Liability

To the maximum extent permitted by law, Guardian Nexus LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to damages resulting from hiring decisions informed by AI-generated screening results.

13. Indemnification

You agree to indemnify and hold harmless Guardian Nexus LLC from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use after changes take effect constitutes acceptance of the revised Terms.

15. Termination

You may close your account at any time through the Settings page. We may suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately, and we may delete your data according to our data retention policies.

16. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.
